1. Introduction

These Website Terms of Use (“Terms”) govern your access to and use of the website located at https://itsyndicate.org and any subdomains (the “Site”), operated by ITSyndicate OÜ (“ITSyndicate,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you disagree, do not use the Site.

We may update these Terms from time to time. The “Last Updated” date shows the latest changes. Your continued use after changes take effect constitutes acceptance of the updated Terms.

2. Purpose of the Site; No Professional Relationship

The Site and all content are for general informational purposes only and do not constitute a commercial offer, advice, or the formation of any professional, fiduciary, or client relationship. Any services we provide are governed by separate written agreements executed between you and ITSyndicate.

By using the Site, you represent that you are of legal age in your jurisdiction and have the authority to accept these Terms. If you use the Site on behalf of an entity, you represent that you are authorized to bind that entity to these Terms.

We may monitor use and suspend or terminate access for violations.

  • Feedback: By providing feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit such feedback without restriction.

The Site may link to third-party websites or resources. We do not endorse and are not responsible for third-party content, products, or services. Access is at your own risk. Use safeguards against malware and other threats.

To the maximum extent permitted by law, ITSyndicate and its affiliates, officers, directors, employees, agents, contractors, service providers, and licensors (“Protected Entities”) will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to these Terms or your use of (or inability to use) the Site, even if advised of the possibility of such damages.

Where liability cannot be excluded, the total aggregate liability of the Protected Entities for any claims arising out of or relating to these Terms or the Site will not exceed one hundred euros (€100). Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the fullest extent permitted.

11. Indemnification

You will defend, indemnify, and hold harmless the Protected Entities from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Site; (b) your violation of these Terms or applicable law; (c) your infringement of third-party rights; or (d) your Submissions.

12. Suspension and Termination

We may suspend or terminate your access to the Site, in whole or in part, at any time for any or no reason, without notice or liability. Upon termination, your right to use the Site ceases, and Sections 6–17 survive termination.

13. Governing Law; Venue

These Terms are governed by the laws of Estonia, without regard to conflict-of-law principles. You submit to the exclusive jurisdiction and venue of the courts located in Estonia for disputes arising from or relating to these Terms or the Site, subject to Section 14 for consumers.

14. UK/EU Consumer and Privacy Provisions

If you are a consumer residing in the United Kingdom or the European Union:

  • Mandatory Rights: Nothing in these Terms limits your mandatory statutory rights under applicable consumer law (e.g., UK Consumer Rights Act 2015; EU consumer directives as implemented in member states).
  • Local Jurisdiction: You may bring claims in the courts of your habitual residence where required by mandatory consumer law. If Estonian jurisdiction clauses conflict with mandatory consumer protections, those clauses will not apply to the extent of the conflict.

  • Online Dispute Resolution (EU): If applicable, you may access the EU’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/. We are not obligated to, and do not commit to, using ADR entities unless required by applicable law.

15. Export and Sanctions Compliance

You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive sanctions, and are not a person or entity on any applicable restricted or denied party lists. You agree to comply with all applicable export control and sanctions laws related to your access to the Site.

16. DMCA / IP Complaints

If you believe Content on the Site infringes your copyright or other IP rights, contact us with: (a) identification of the work/right claimed infringed; (b) identification of the material claimed infringing; (c) your contact information; (d) a good-faith statement; and (e) a statement that the information is accurate and, under penalty of perjury, you are authorized to act. We may remove or disable access to allegedly infringing material and may terminate the accounts of repeat infringers.

17. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement regarding the Site and supersede prior or contemporaneous communications about the Site.
  • Severability: If any provision is invalid or unenforceable, the remainder remains in full force and effect.
  • No Waiver: Failure to enforce any provision is not a waiver of that or any other provision.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
  • Language: If provided in multiple languages, the English version controls in case of conflict.
